I would like somebody to review an asset purchase agreement for me please. I am selling my business assets, not the business. There is a shop lease in place and I rent out rooms in the current premises to individual practitioners. I wish to continue to do this after the asset sale and continue the business in that way.
I have agreed to sell the physical assets- the machines, stock, website, social media accounts and my client list. I do not intend to continue practising at the business.
I am concerned that the asset purchase agreement is looking to take the name, s despite not looking to trade under this and this being the name of the Company that has not been purchased. I am also concerned that my name has been put down as a personal guarantor and is something I am not willing to do. I have already reviewed this document myself and have added my comments on areas I think may be concerning. I would like a professional opinion as to whether my concerns are warranted and whether there is anything that I have not Picked up that you feel may be unduly biased or unfair that could cause me problems.
