I’m seeking an experienced UK-based solicitor / accountant with a strong understanding of company share sales, tax planning (including BADR), and anti-avoidance rules such as ITA 2007 s.684–685.
I have a pre-agreed acquisition in place where Company B will purchase 100% of the shares in Company A for a fixed amount. Both companies are UK-based, with known financials and single shareholders.
I need professional support to: • ✅ Draft or review the Share Purchase Agreement (SPA) • ✅ Confirm the availability of Business Asset Disposal Relief (BADR) • ✅ Ensure tax efficiency and advise on HMRC counteraction risks (particularly around distributable reserves and ITA 2007) • ✅ Assist with completion and any necessary filings (e.g. stock transfer forms, Companies House) • ✅ Optionally provide a brief clearance letter or summary opinion for compliance records
This should be a relatively straightforward transaction with minimal due diligence needed. I need to move quickly, completing before April 6th ] Ideal Candidate: • Qualified UK solicitor, chartered accountant, or corporate tax advisor • Experience with SME share sales and HMRC compliance • Familiarity with company law, distributable reserves, and anti-avoidance legislation • Able to work quickly and efficiently
